You want the heads and up, there's a lot to it, but it's doable.

3400 is 180 crank...so probably around 160 or so to the wheels, and i have CAI and tuned pcm, so idk maybe 165-170, and i dont like the idea of a whole engine swap, seems like more work than it needs to be..

How much power can you really gain from this? The 3500 stock vs. stock make 31 HP more than the 3400...so buy just putting everything from the head up onto a 3400, how much will that really get you? I would guess about 15HP, maybe 20 HP if you are lucky. And 30 HP is out of the question considering the 3500 itself makes that much more, so just swaping the heads up of a 3500 to a 3400 isnt going to give you full power of a 3500.
This sounds like a really expensive, and labor intense job, for not really a ton of HP gain. You could probably buy an entire 3500 for what this will cost...or better yet, do an L67 swap.

Have you ever raced you buddy in the G6, or are you asking the question?
Depends on the year of the G6, the old G6 3.5L's did not have VVT, and only made 200 HP (which, depeneding on what your tune/ intake did for you might be a reasonable assumption, that you could keep up with him)...the newer ones with VVT are making I think 221 HP (which I really don't think you could beat).
